3. Research Use Only—Critical Notice

All products offered by JIVY LABS are sold strictly and exclusively for:

  • In vitro laboratory research;
  • Analytical testing;
  • Scientific research;
  • Educational laboratory purposes; and
  • Other lawful, non-clinical research conducted by properly trained and equipped researchers.

JIVY LABS products are not intended for and must not be used for:

  • Human consumption or administration;
  • Veterinary consumption or administration;
  • Injection, ingestion, inhalation, implantation, or topical application;
  • Food, drug, cosmetic, or dietary-supplement purposes;
  • Compounding, dispensing, or pharmaceutical preparation;
  • Therapeutic, diagnostic, preventative, or clinical applications;
  • Self-experimentation;
  • Treatment of any disease, injury, or medical condition;
  • Resale or distribution to individuals for personal use; or
  • Any purpose prohibited by applicable law.

Products offered by JIVY LABS have not been evaluated or approved by the United States Food and Drug Administration for human or veterinary use.

The designation “Research Use Only” is a material condition of every sale.

4. Buyer Representations and Warranties

By purchasing a product from JIVY LABS, you expressly represent and warrant that:

  • You are at least 21 years old;
  • You understand that the products are offered solely for lawful research purposes;
  • You possess sufficient knowledge, training, equipment, facilities, and protective measures to handle the products safely;
  • You will review all available product labels, descriptions, specifications, safety information, and storage instructions before handling a product;
  • You will independently investigate the identity, properties, hazards, suitability, and legal status of each product;
  • You will comply with all applicable laws, regulations, permits, institutional requirements, and safety standards;
  • You will use the products only in a controlled laboratory or research setting;
  • You will not use, administer, distribute, or resell products for human or veterinary purposes;
  • You will not represent any JIVY LABS product as a medicine, drug, supplement, cosmetic, treatment, or consumer product;
  • You will not rely on JIVY LABS for medical, clinical, therapeutic, or professional advice; and
  • Your purchase and intended use are lawful in every jurisdiction applicable to you.

JIVY LABS relies on these representations when deciding whether to accept and fulfill an order.

5. Right to Refuse or Cancel Orders

JIVY LABS reserves the right, to the maximum extent permitted by law, to refuse, limit, hold, or cancel any order.

We may take such action when:

  • A product is unavailable;
  • Pricing or product information contains an error;
  • Payment cannot be confirmed;
  • Fraud or unauthorized activity is suspected;
  • Age, identity, or research-purpose verification is unsuccessful;
  • The shipping destination is restricted or unsupported;
  • We suspect intended human or veterinary use;
  • We suspect unlawful resale, diversion, or distribution;
  • The order violates these Terms; or
  • Fulfilling the order may violate applicable law or create an unacceptable safety or compliance risk.

An order confirmation does not constitute final acceptance. An order is accepted only when JIVY LABS confirms acceptance or begins fulfillment.

If we cancel an order after receiving payment, we will return the eligible amount unless the payment is subject to a legal hold, fraud investigation, blockchain limitation, charge, or other lawful restriction.

6. Product Information and Availability

We attempt to provide accurate product names, quantities, concentrations, descriptions, images, prices, and availability information.

However:

  • Product images may be illustrative;
  • Packaging, labels, or appearance may change;
  • Minor variations may occur between products or lots;
  • Availability may change without notice;
  • Typographical or technical errors may occur; and
  • Website information may be corrected or updated at any time.

JIVY LABS may refuse or cancel an order affected by a material pricing, description, inventory, or technical error.

Product descriptions and specifications do not guarantee a particular research result and do not represent that a product is suitable for human or veterinary use.

7. No Medical or Professional Advice

Content provided through jivylabs.com is for general research and informational purposes only.

Nothing on the website constitutes:

  • Medical advice;
  • Veterinary advice;
  • Diagnosis or treatment recommendations;
  • Dosing or administration instructions;
  • Clinical guidance;
  • Pharmaceutical advice;
  • Legal or regulatory advice; or
  • A representation that a product is safe or effective for human or veterinary use.

You are responsible for obtaining independent professional advice appropriate to your research, organization, and jurisdiction.

8. Prices, Taxes, and Payment

Prices are displayed in the currency shown on the website or invoice and may change without notice.

JIVY LABS currently accepts payment through methods such as:

  • Zelle;
  • Cash; and
  • Supported cryptocurrencies.

JIVY LABS does not currently accept credit or debit cards.

Payment is required before fulfillment unless JIVY LABS agrees otherwise in writing. Orders will not be processed or shipped until payment is received and confirmed.

You represent and warrant that:

  • You are legally authorized to use the selected payment method;
  • The payment information you provide is accurate;
  • The payment is not connected to fraud, money laundering, theft, sanctions evasion, or other unlawful activity; and
  • You are responsible for applicable network, wallet, exchange, transfer, or transaction fees.

Cryptocurrency transactions are generally irreversible. JIVY LABS is not responsible for payments sent:

  • To an incorrect wallet address;
  • Using an unsupported network or token;
  • In an incorrect amount;
  • Without required identifying information; or
  • In a manner that prevents payment from being verified.

Payment methods may be added, removed, or changed. If credit or debit card payments are introduced, additional payment-processor terms may apply.

9. Order Review and Confirmation

You are responsible for reviewing your order before submitting payment.

Verify:

  • Product names;
  • Quantities;
  • Shipping address;
  • Contact information;
  • Payment amount; and
  • Selected payment method.

Contact support@jivylabs.com immediately if you identify an error. We cannot guarantee that an order can be changed after payment is received or fulfillment begins.

10. All Sales Final

Except as expressly provided in our posted Refund Policy or required by applicable law, all sales are final.

Once payment has been received and an order has entered fulfillment:

  • The order may not be canceled;
  • Products may not be returned or exchanged;
  • Buyer remorse does not qualify for a refund;
  • Changes in research needs do not qualify for a refund;
  • Failure to review product information does not qualify for a refund; and
  • Cryptocurrency market fluctuations do not qualify for an adjustment or refund.

Exceptions may be considered when:

  • The wrong product was delivered;
  • A product arrived materially damaged; or
  • Applicable law requires a refund or other remedy.

You must contact support@jivylabs.com promptly and provide the order number, photographs, packaging information, and other evidence reasonably requested.

Any approved remedy may be limited to replacement, store credit, or refund of the affected product, as permitted by law and determined under our Refund Policy.

Do not return products without prior written authorization.

11. Shipping and Delivery

Shipping options, charges, and estimated delivery times will be displayed during checkout, on an invoice, or in the applicable Shipping Policy.

Delivery estimates are not guarantees. JIVY LABS is not responsible for delays caused by:

  • Shipping carriers;
  • Severe weather;
  • Natural disasters;
  • Government actions;
  • Transportation disruptions;
  • Incorrect or incomplete addresses;
  • Failed delivery attempts;
  • Customs or inspection delays;
  • Labor disruptions; or
  • Other circumstances beyond our reasonable control.

You are responsible for providing a complete and accurate delivery address. Additional shipping charges resulting from an incorrect address, rejected delivery, or reshipment may be charged to you.

Risk of loss transfers to you when the carrier confirms delivery to the address provided, except where applicable law requires otherwise.

After confirmed delivery, JIVY LABS is not responsible for theft, loss, exposure, damage, improper storage, or unauthorized access occurring at the delivery location.

If tracking shows delivery but you cannot locate the package, contact the carrier and JIVY LABS promptly.

12. Inspection and Storage

You are responsible for inspecting products promptly after delivery.

Do not use a product for research if:

  • The package appears materially damaged;
  • The seal appears broken or compromised;
  • The label does not match the product ordered;
  • The product appears contaminated; or
  • There is another reasonable safety concern.

Contact support@jivylabs.com promptly and retain the product, packaging, labels, and shipping materials while the matter is reviewed.

You are responsible for storing, securing, handling, documenting, and disposing of products according to applicable laws, safety standards, labels, and research protocols.

13. Prohibited Conduct

You may not:

  • Use any product for human or veterinary purposes;
  • Inject, ingest, inhale, implant, or topically apply any product;
  • Use products for self-experimentation;
  • Resell products to consumers for personal use;
  • Represent products as drugs, medicines, supplements, cosmetics, or treatments;
  • Provide products to anyone under 21;
  • Misrepresent your identity, age, qualifications, affiliation, or intended use;
  • Circumvent age, identity, payment, or compliance controls;
  • Use the website or products for unlawful, fraudulent, abusive, or deceptive purposes;
  • Attempt to gain unauthorized access to the website or another user’s information;
  • Introduce malware, malicious code, scraping tools, or disruptive automated systems;

If you subscribe to email marketing, JIVY LABS may send newsletters, product announcements, restock notices, promotions, and other commercial communications.

You may unsubscribe at any time by:

Unsubscribing from promotional email does not prevent JIVY LABS from sending transactional communications concerning an order, payment, shipment, security issue, policy change, or customer-support request.

16. SMS Messaging Terms

Providing a telephone number does not automatically enroll you in SMS marketing. Marketing messages will be sent only after you provide separate affirmative consent.

By opting in, you consent to receive recurring automated informational and promotional text messages from JIVY LABS at the telephone number provided. Messages may include product announcements, availability updates, promotions, reminders, and other marketing communications.

  • Consent is not a condition of purchase.
  • Message frequency may vary.
  • Message and data rates may apply.
  • Reply STOP to unsubscribe.
  • After opting out, you may receive a final confirmation message.
  • Reply HELP for assistance or contact support@jivylabs.com.
  • Mobile carriers are not responsible for delayed or undelivered messages.

You represent that you are the authorized user of the telephone number provided and will notify JIVY LABS if the number changes or is reassigned.

SMS information is handled according to our Privacy Policy. Mobile telephone numbers and SMS consent records are not sold or shared with third parties or affiliates for their independent marketing.

17. Privacy

Your use of the website and submission of personal information are governed by our Privacy Policy.

By using the website, you acknowledge that electronic communications and internet-based systems cannot be guaranteed to be completely secure.

18. Intellectual Property

All website content—including text, graphics, logos, molecular artwork, product photographs, videos, designs, icons, page layouts, branding, and software—is owned by or licensed to JIVY LABS and is protected by applicable intellectual-property laws.

JIVY LABS grants you a limited, revocable, non-exclusive, non-transferable right to access the website for lawful personal or internal research-purchasing purposes.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, ITS CONTENT, AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY JIVY LABS OR WARRANTY THAT CANNOT LAWFULLY BE EXCLUDED, JIVY LABS DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • AVAILABILITY;
  • TITLE; AND
  • SUITABILITY FOR A PARTICULAR RESEARCH APPLICATION OR OUTCOME.

JIVY LABS DOES NOT WARRANT THAT:

  • THE WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE;
  • ALL WEBSITE INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT;
  • A PRODUCT WILL PRODUCE A PARTICULAR RESEARCH RESULT; OR
  • A PRODUCT IS SUITABLE FOR HUMAN OR VETERINARY USE.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent legally permitted.

21. Assumption of Risk

You acknowledge that research materials may present known and unknown hazards.

You voluntarily assume responsibility for:

  • Evaluating product identity and hazards;
  • Establishing appropriate research protocols;
  • Using suitable facilities and protective equipment;
  • Training all personnel with access to products;
  • Preventing unauthorized access;

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIVY LABS AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST RESEARCH, BUSINESS INTERRUPTION, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING FROM:

  • Access to or use of the website;
  • Inability to access the website;
  • Purchase, possession, storage, transfer, or use of a product;
  • Improper or prohibited product use;
  • Research results or failure to achieve expected results;
  • Buyer’s violation of these Terms;
  • Unauthorized access to an account or delivery location; or

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JIVY LABS’ TOTAL LIABILITY ARISING FROM A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO JIVY LABS FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

23. Indemnification

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless JIVY LABS and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, judgments, losses, penalties, costs, and reasonable attorneys’ fees arising from or related to:

  • Your breach of these Terms;
  • Your handling, storage, transfer, resale, or use of a product;
  • Human or veterinary use of a product;
  • Your violation of law or third-party rights;
  • Fraudulent or misleading information you provide;

This obligation does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.

By using the website, submitting an order, or communicating electronically, you consent to receive agreements, notices, disclosures, order confirmations, and other records electronically.

You agree that electronic communications and electronic acceptance satisfy any legal requirement that a communication or agreement be in writing, to the extent permitted by law.

26. Applicable Law and Dispute Resolution

The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receiving notice.

If the dispute cannot be resolved informally, either party may pursue available remedies in a court of competent jurisdiction, subject to applicable law.

Nothing in this section prevents either party from seeking emergency or injunctive relief when necessary to protect safety, confidential information, or intellectual-property rights.

27. Changes to These Terms

JIVY LABS may update these Terms to reflect changes in products, services, payment methods, website functionality, business practices, or legal obligations.

Updated Terms become effective when posted unless another date is stated. Changes will apply prospectively to website use and orders occurring after the effective date.

Your continued use of the website or submission of an order after updated Terms become effective constitutes acceptance of the revised Terms.

28. Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted or modified to reflect its original intent as closely as possible.

The remaining provisions will continue in full force and effect.

29. No Waiver

Failure by JIVY LABS to enforce a provision of these Terms does not waive the right to enforce that provision or another provision later.

30. Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent from JIVY LABS.

JIVY LABS may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of business operations.

31. Force Majeure

JIVY LABS is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, power or internet failures, labor disruptions, supply shortages, transportation interruptions, carrier delays, war, terrorism, civil unrest, epidemics, government actions, or changes in law.

32. Entire Agreement

These Terms, together with the Privacy Policy, Shipping Policy, Refund Policy, and other policies expressly incorporated by reference, constitute the entire agreement between you and JIVY LABS concerning the website and your purchase of products.

They supersede prior or contemporaneous communications and understandings concerning the same subject matter.
